By accessing or using Penly.it ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms constitute a legally binding agreement between you and Simplicity A Like, a Florida S corporation ("Penly.it," "we," "us," or "our").
Penly.it is a software-as-a-service (SaaS) platform that enables freelancers and independent professionals to create, send, and manage client proposals using AI assistance. The Service includes AI-powered proposal generation, e-signature collection, email delivery, deposit collection, and analytics.
You must create an account to use Penly.it. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
Penly.it offers multiple subscription tiers: Starter (free), Pro ($39/month), and Business ($79/month). Paid plans are billed monthly in advance. All fees are non-refundable except as required by law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Penly.it reserves the right to change pricing with 30 days' notice.
Penly.it integrates with Stripe, Inc. to enable freelancers to collect deposit payments from their clients. By connecting a Stripe account through Penly.it, you agree to the Stripe Connected Account Agreement and the Stripe Services Agreement. Penly.it charges a 3% platform fee on each deposit payment processed through the Service. This fee is deducted automatically at the time of payment.
When you collect payments from clients through Penly.it, you are the merchant of record for those transactions. You are solely responsible for: (a) fulfilling the services described in your proposals; (b) issuing refunds to clients when warranted; (c) responding to and resolving payment disputes and chargebacks initiated by your clients; (d) ensuring your use of payment features complies with all applicable laws, including consumer protection laws; and (e) any taxes owed on payments you receive. Penly.it is not a party to transactions between you and your clients and has no liability for disputes arising from those transactions.
You agree not to use Penly.it to: (a) send spam, fraudulent, or misleading proposals; (b) impersonate any person or entity; (c) collect payments for services you do not intend to deliver; (d) violate any applicable laws or regulations; (e) attempt to gain unauthorized access to any part of the Service; (f) reverse engineer, copy, or distribute any part of the Service; or (g) use the Service for any purpose that competes with Penly.it.
Penly.it uses artificial intelligence to assist in generating proposal content. You retain full ownership of all proposals and content you create using the Service. AI-generated content is provided as a starting point and should be reviewed and edited by you before sending to clients. Penly.it does not guarantee the accuracy, completeness, or suitability of AI-generated content for any specific purpose.
The e-signature functionality provided by Penly.it is intended to capture client approval of proposals. While Penly.it makes reasonable efforts to create a secure signing process, Penly.it does not provide legal advice. You are responsible for ensuring that your use of e-signatures complies with applicable laws in your jurisdiction, including the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA).
The Penly.it platform, including its design, code, and brand assets, is owned by Simplicity A Like and protected by intellectual property laws. Your proposal content and client data belong to you. You grant Penly.it a limited license to store and process your content solely to provide the Service.
Your use of Penly.it is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Penly.it does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
To the maximum extent permitted by law, Simplicity A Like shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost profits, lost revenue, or payment disputes between you and your clients. Penly.it's total liability to you for any claims arising from these Terms shall not exceed the amount you paid Penly.it in the 12 months preceding the claim.
You agree to indemnify, defend, and hold harmless Simplicity A Like and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your proposals, services, or transactions with your clients; (c) any payment disputes or chargebacks related to your connected Stripe account; or (d) your violation of these Terms.
Penly.it may suspend or terminate your account at any time for violations of these Terms. You may terminate your account at any time from the Settings page. Upon termination, your data will be retained for 30 days before permanent deletion. Termination does not relieve you of obligations arising from transactions processed prior to termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.
Penly.it reserves the right to modify these Terms at any time. We will notify you of material changes via email or a notice within the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
